By accessing or using XyzPM (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

2. Description of Service

XyzPM is a personal and professional project management application that helps users manage tasks, projects, goals, and life activities through intelligent suggestions and adaptive behavior.

3. User Accounts

To use certain features of the Service, you must register for an account. You agree to:

  • Maintain the security of your password and account
  • Promptly update your account information
  • Accept responsibility for all activities that occur under your account

6. Intellectual Property

The Service and its original content (excluding User Content), features, and functionality are owned by XyzPM and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

7. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

8. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease.

You may terminate your account at any time by contacting us or using the account deletion feature in your settings.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The Service will be uninterrupted or error-free
  • Defects will be corrected
  • The Service is free of viruses or harmful components
  • The results obtained from use of the Service will be accurate or reliable

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, XYZPM AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, AND LICENSORS SHALL NOT BE LIABLE FOR:

  • ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • ANY LOSS OF PROFITS, REVENUES, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES
  • ANY DAMAGES RESULTING FROM:
    • Your use or inability to use the Service
    • Any unauthorized access to or alteration of your data
    • Statements or conduct of any third party on the Service
    • Any other matter relating to the Service

In no event shall XyzPM's total liability exceed the amount paid by you to XyzPM in the twelve (12) months preceding the event giving rise to the liability.

11. Indemnification

You agree to defend, indemnify, and hold harmless XyzPM and its affiliates, officers, directors, employees, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service.

12. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which XyzPM operates, without regard to its conflict of law provisions. You agree to submit to the personal and exclusive jurisdiction of the courts located within that jurisdiction.

13. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or by posting a notice on the Service. Your continued use of the Service after any changes indicates your acceptance of the new Terms.

14. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and XyzPM regarding the use of the Service and supersede any prior agreements.
